When you sign up forany service within the Spank Book site, all of which are hereinafterreferred to collectively as the "Service", you agree to all of theterms and conditions of this Agreement. Please read the following terms andconditions carefully, as they form the agreement between Spank Book, andyou (sometimes referred to herein as “you”, “your” or “User”) (suchagreement referred to herein as the “Agreement”). IF YOU DO NOT AGREE TOTHESE TERMS AND CONDITIONS, YOU MAY NOT USE THE SERVICE, AND SHOULD NOT PROCEEDTO REGISTER. BY USING THE SERVICE YOU ARE AGREEING TO BE BOUND BY THIS SERVICEAGREEMENT, INCLUDING ALL AMENDMENTS MADE TO DATE.

User Agreement

This Agreementconstitutes the agreement between Spank Book and you with respect to youruse of the Service. You must agree to abide by all of the terms and conditionscontained in this Agreement in order to become or remain an authorized user ofthe Service. As used in this Agreement, "we" and "us" meansSpank Book, or any successor or assign of Spank Book.

Service Agreement

Right to Use.

Your right to usethe Service is subject to any limitations, conditions and restrictionsestablished by us from time to time, in our sole discretion. We may alter,suspend or discontinue any aspect of the Service at any time, including theavailability of any Service feature, database or content. We may also imposelimits on certain features and aspects of the Service or restrict your access toparts or all of the Service without notice or liability.

Adults Only.

THIS SERVICE IS FORADULTS ONLY! You represent, warrant and covenant that you are at least 18 yearsold or the age of majority in your jurisdiction, whichever is older (the “Ageof Majority”). The Service is intended for adults only. By using the Serviceyou agree that you have reached the Age of Majority. If you continue withregistration to Spank Book or use of the Service in violation of thissection, it may result in legal action.

Code of Conduct.

You agree to use theService in accordance with the following Code of Conduct:

a) You are solelyresponsible for any information that you post or display to other members orwhen using the Service. You will keep all information provided to you throughthe Service as private and confidential and will not give such information toanyone without the permission of the person who provided it to you;
b) You are aware that the Service may contain explicit adult oriented materialsprovided only by consenting users;
c) You will not use the Service to engage in any form of harassment or offensivebehavior, including, but not limited to, the posting of any message, picture orrecording, which contains sexual conduct (whether actual or simulated),libelous, slanderous, abusive or defamatory statements, or racist, pornographic,obscene, or offensive language;
d) You will not post any message, picture or recording or use the Service in anyway which:

•          violates, plagiarizes or infringes upon the rights of any third party, including but not limited to any copyright or trademark law, privacy or other personal or proprietary rights, or

•          ii. is fraudulent or otherwise unlawful conduct in connection with your use of the Service or violates any law.

e)You will not use the Service to distribute, promote or otherwise publish anymaterial containing any solicitation for funds, advertising or solicitation forgoods or services;
f) Your use of the Service is for your own personal use. You may not allowothers to use the Service and you may not transfer accounts with other users;
g) You will not use the Service to infringe on any privacy right, propertyright, or other civil right of any person; and
h) You will not forward any chain letters through the Service.

Privacy and Use ofInformation.

As more fully setforth in our Privacy Statement, your personal information will not be resold toany third party.

You acknowledge andagree that:

(a) We cannot ensurethe security or privacy of information you provide through the Internet, orotherwise, and through your email or other messages; you release us from any andall liability in connection with the breach of the security of such informationand/or messages and with respect to the use of such information by otherparties;
(b) We are not responsible for, and cannot control, the use of any information,by anyone, which you provide to any other parties or the Service and you shoulduse caution in selecting the personal information you provide to others throughthe Service;
(c) We cannot assume any responsibility for the content of any message sent byany user on the Service, and you release us from any and all liability inconnection with the content(s) of any communication(s) you may receive fromother users;
(d) You acknowledge that you cannot bring legal action against Spank Book or any of its employees, officers or agents for any damages of any kind, underany theory, as a consequence of using the Service; and
(e) Any and all images uploaded to Spank Book become property of Spank Book and may be used bySpank Book, without any restriction(s),as marketing materials. By accepting this Agreement and its Terms and Conditionsyou specifically authorize us to use any images you upload to Spank Book for marketing this site in our sole discretion.
(f) You may not use the Service for any unlawful purpose. We may refuse to grantyou or discontinue your use of a user name, for whatever reason, including, butnot limited to, that the user name you have chosen impersonates someone else, isprotected by trademark or proprietary law, or is vulgar or otherwise offensive,as determined by us in our sole discretion.

We cannotguarantee, and assume no responsibility for verifying, the accuracy of theinformation provided by any other user of the Service, including but not limitedto, information regarding a member’s, age and marital status. You herebyacknowledge and agree that we have no responsibilities or liabilities for anyinaccuracies, intentional or unintentional, made by users.

Monitoring ofInformation.

We reserve theright, but have no obligation, to monitor any and all advertisements, publicpostings and messages to ensure that they conform to the content guidelines andthis Agreement, which are both subject to change from time to time. We alsoreserve the right, but have no obligation, to monitor any and all messages andchats that take place through the site. We are not responsible for any offensiveor obscene material(s) that may be transmitted or posted by any and all users(including unauthorized users, as well as the possibility of"hackers"). As noted above, we are also not responsible, under anycircumstances, for the use of any personal information, by anyone, that you postor transmit through the Service.

Removal ofInformation.

While we do not andcannot review every message or other material posted or sent by users of theService, and are not responsible for any content of these messages or materials,we reserve the right, but are not obligated, to delete, move, or edit messagesor materials, including without limitation advertisements, public postings andmessages, that we, in our sole discretion, may deem to violate the Code ofConduct set out above or to be otherwise unacceptable to us in our solediscretion. Notwithstanding our right to delete, move or edit messages ormaterials, you shall remain solely responsible for the content ofadvertisements, public postings, messages and other materials you may upload tothe Service or otherwise provide to users of the Service.

Termination ofAccess to Service.

We may, in our solediscretion, terminate or suspend your access to all or part of the Service atany time, with or without notice, for any reason, including, without limitation,breach of this Agreement. Without limiting the generality of the foregoing, anyfraudulent, abusive, or otherwise illegal activity may be grounds fortermination of your access to all or part of the Service at our sole discretion,and we reserve the right to refer such activity to any and all appropriate lawenforcement agencies.

ProprietaryInformation.

The Service containsinformation, which is proprietary to us and/or users of the Service. We assertfull copyright protection in the Service. Any information posted by us or usersof the Service may be protected whether or not it is identified as proprietaryto us or to the user. You agree not to modify, copy or distribute any suchinformation in any manner whatsoever without having first received the expresspermission of the owner of such information.

No responsibility.

We are notresponsible for any incidental, consequential, special, punitive, exemplary,direct or indirect damages of any kind whatsoever, which may arise out of orrelate to your use of the Service, including but not limited to lost revenues,profits, business or data, or damages resulting from any viruses, worms,"Trojan horses" or other destructive software or materials, orcommunications by you or other users of the Service, or any interruption orsuspension of the Service, regardless of the cause of the interruption orsuspension. Any claim against us shall be limited to the amount you paid, ifany, for use of the Service during the previous 12 months. We may discontinue orchange the Service or its availability to you at any time, and you may stopusing the Service at any time, please see details on cancellation below.

Security.

Your account isprivate and should not be used by anyone else. You are responsible for all usageor activity on the Service by users using your password, including but notlimited to use of your password by any third party.

The Service may fromtime to time contain links to other sites and resources ("ExternalLinks"). We are not responsible for, and have no liability as a result of,the availability of External Links or their contents.

Indemnity.

You agree toindemnify us, our officers, directors, employees and agents, from any loss ordamages, including without limitation reasonable legal fees, which we may sufferfrom your activities on or use of the Service, including without limitation anybreach by you of this Agreement or any charges or complaints made by otherparties against you. You shall cooperate as fully as reasonably required in thedefense of any claim. We reserve the right to assume the exclusive defense andcontrol of any matter otherwise subject to indemnification by you; provided,however, that you shall remain liable for any such claim.

No Warranties.

The Service isdistributed on an "as is" basis. We do not warrant that this Servicewill be uninterrupted or error-free. There may be delays, omissions, andinterruptions in the availability of the Service. Where permitted by law, youacknowledge that the Service is provided without any warranties of any kindwhatsoever, either express or implied, including but not limited to the impliedwarranties of merchantability and fitness for a particular purpose. Youacknowledge that use of the Service is at your own risk. We do not represent orendorse the accuracy or reliability of any advice, opinion, statement or otherinformation displayed, uploaded or distributed through the Service by Spank Bookor any user of the Service or any other person or entity. Youacknowledge that any reliance upon any such opinion, advice, statement orinformation shall be at your sole risk.

Modifications.

We may modify thisAgreement from time to time. Notification of changes in this Agreement will beposted on the Service or sent via electronic mail, as we may determine in oursole discretion. If you do not agree to any modifications, you should terminateyour use of the Service. Your continued use of the Service now, or following theposting of notice of any changes in this Agreement, will constitute a bindingacceptance by you of this Agreement, or any subsequent modifications.

Disclosure and OtherCommunication.

We reserve the rightto send electronic mail to you, for the purpose of informing you of changes oradditions to the Service, or of any Spank Book related products andservices. We reserve the right to disclose information about your usage of theService and Demographics in forms that do not reveal your personal identity.

Complaints.

To resolve or reporta complaint regarding the Service or members who use the Service users shouldsend an email detailing such complaint to webmaster@spankbook.net. Immediateactions will take place in order to help solve the problem.

Registration

You may become amember of Spank Book by completing an online registration form, which mustbe accepted by Spank Book. Upon submission of the online registrationform, Spank Book or its authorized agent will process the application. Inconnection with completing the online registration form, you agree to: (a)provide true, accurate, current and complete information about yourself asprompted by the registration form (such information being the “RegistrationData”) and (b) maintain and promptly update the Registration Data to keep ittrue, accurate, current and complete at all times while you are a member. Youmust promptly inform Spank Book of all changes to the registration data,including, but not limited to, changes in your address you used in connectionrequired by 18 U.S.C. 2257. If you provide any information that is untrue,inaccurate, not current or incomplete, or Spank Book or any of itsauthorized agents have reasonable grounds to suspect that such information isuntrue, inaccurate, not current or incomplete, Spank Book has the right tosuspend or terminate your account and refuse your current or future use of SpankBook and the Service, as well as possibly subjecting you to criminaland civil liability.

Member Account,Password and Security

As part of theregistration process, you will be issued a unique user name and password whichyou must provide in order to gain access to the non-public portion of the SpankBook. You certify that when asked to choose a username you will notchoose a name which falsely represents you as somebody else or a name which mayotherwise be in violation of the rights of a third party. We reserve the rightto disallow the use of usernames that we, in our sole discretion, deeminappropriate. We reserve the right to modify any materials on the site andSpank Book design at anytime, with or without prior notice. We reserve theright to cancel at any time the membership of any member who uses their selectedusername in violation of these Terms and Conditions or in any other way we, inour sole discretion, deem inappropriate. Your membership, the ID and passwordare nontransferable and non-assignable. You represent and warrant that you willnot disclose to any other person your unique user name and password and that youwill not provide access to the Service to anyone who is below the Age ofMajority, or otherwise does not wish to view the content on Spank Book.You are solely responsible for maintaining the confidentiality of your user nameand password and are fully responsible for all activities that occur under youruser name and password. Spank Book will not release your password forsecurity reasons. You agree to (a) immediately notify Spank Book of anyunauthorized use of your user name and password or any other breach of security,and (b) ensure that you exit from your account at the end of each session. Youare liable and responsible for any unauthorized use of the Service until younotify Spank Book by email regarding that unauthorized use. Unauthorizedaccess to the Service is illegal and a breach of this Agreement. You agree toindemnify Spank Book against all activities conducted through youraccount.

Binding Agreement

By supplying us withall the required information and signing up as a member you acknowledge andaffirmatively state that you have read, and understand the terms set forthherein and that you agree to be bound by the terms and conditions hereof.

NO WARRANTIES,LIMITATION OF LIABILITY

YOU EXPRESSLY AGREETHAT YOUR USE OF THE SERVICE IS AT YOUR SOLE AND EXCLUSIVE RISK. THE SERVICESARE PROVIDED ON AN "AS IS, WITH ALL FAULTS" AND "ASAVAILABLE" BASIS. SPANKBOOK.NET EXPRESSLY DISCLAIMS ALL WARRANTIES OFANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIEDWARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE ANDNONINFRINGEMENT. SPANKBOOK.NET MAKES NO WARRANTY THAT THE SERVICES WILL MEETYOUR REQUIREMENTS, OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE,OR ERROR FREE; NOR DOES SPANKBOOK.NET MAKE ANY WARRANTY AS TO THE RESULTSTHAT MAY BE OBTAINED FROM THE USE OF THE SERVICES OR AS TO THE ACCURACY ORRELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES OR THAT DEFECTS INANY SOFTWARE, HARDWARE OR THE SERVICES WILL BE CORRECTED. YOU UNDERSTAND ANDAGREE THAT ANY USE YOU MAKE OF ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISEOBTAINED THROUGH THE USE OF THE SERVICE IS AT YOUR OWN DISCRETION AND RISK, ANDTHAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM ORLOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL AND/OR DATA. UNDERNO CIRCUMSTANCES WILL WE BE RESPONSIBLE FOR CONSEQUENTIAL DAMAGES OR PUNITIVEDAMAGES.

Severability

If any term, clauseor provision hereof is held invalid or unenforceable by a court of competentjurisdiction, such invalidity shall not affect the validity or operation of anyother term, clause or provision and such invalid term, clause or provision shallbe deemed to be severed from this Agreement.

Jurisdiction/Disputes

This Agreement andall matters arising out of or otherwise relating to these terms and conditionsshall be governed by the laws in effect in the State of Queensland, withoutregard to its conflict of law provisions. You and Spank Book hereby submitto the personal jurisdiction of the state and federal courts of the State ofQueensland for resolution of all disputes. You and Spank Book hereby agreethat exclusive venue for any litigation under this Agreement shall be with thestate and federal courts located in Brisbane, Queensland.

Cancellation By User

You may cancel yourmembership at any time by using your account settings. Upon our processing ofyour request to cancel your membership, you will no longer have access to thenon-public areas of the Service to which you were a member.

Termination bySpank Book

Without limitingother remedies, the Service may immediately issue a warning, temporarilysuspend, indefinitely suspend, or terminate your access and use of the Serviceand refuse to provide our services to you at any time, with or without advancenotice, if: (a) Spank Book believes that you have breached any materialterm of these Terms and Conditions or the documents it incorporates byreference, (b) we are unable to verify or authenticate any information youprovide to us; (c) we believe that your actions may cause legal liability foryou, our users or us; or (d) Spank Book decides to cease operations or tootherwise discontinue any of the Spank Book or parts thereof. Further, youagree that neither Spank Book nor any third party acting on our behalfshall be liable to you for any termination of your membership or access to theService. You agree that if your account is terminated by Spank Book, youwill not attempt to re-register as a member without prior written consent fromSpank Book.

After Termination orCancellation

You accept that whenyou cancel your membership with the Service you will be automatically deletedfrom and locked out of the Service. You will be unable to access your account onthe Service. You also agree and accept that upon cancellation your profile, mailand other membership materials will be immediately deleted from Spank Book and that such information will be irretrievable.

The terms of thisAgreement shall survive after termination or cancellation, unless statedotherwise

SpankAcademy ("we" or "SpankBook") has adopted this privacypolicy to protect your personal information and to let you know how we might useit. This privacy policy only applies to activities you perform on the SpankBook website, and activities or communications that occur using theSpankBook service (collectively known as the "Service") anddoes not apply to any other Website or offline point of contact between SpankBook, Spank Academy, or any other company, and consumers. Thispolicy was implemented on April 20th, 2008 this policy may change fromtime-to-time, please periodically review this page. SpankAcademy is committed to treating your personal information with the highestdegree of care. Your email address and personal information is not shared withany third parties and is solely used to send email communication from SpankAcademy. We useyour email address and your other personal information to help us efficientlyoperate the Service, to contact you in connection with your activities on theService (including, but not limited to, confirmation emails or important newsthat could affect your relationship with SpankBook), and to forwardmessages to you from other SpankBook users. Wealso use personal information to send you newsletters, information, offers andother promotional materials for Spank Academy or third parties' goods orservices. The Service providesyou with options to decline to receive communications from SpankBook (other than those contained in Operational Communications). Some of theseoptions may only be for a certain category of communications; others may be moregeneral. By posting a profile on the Service, you are opting in to receivemessages from other SpankBook members by email or message. Tooperate the Service, and your activities on the Service, we may share yourpersonal information with our agents, representatives, contractors and serviceproviders so they can provide us with support services such as emailorigination, support services, customer relationship management services. Werequire these entities not to use your information for any other purpose.

Bypurchasing, or registering or making reservations for, products or servicesoffered or sponsored by third parties on the Service, or electing to receivecommunications (such as emails or magazine subscriptions) or electing toparticipate in contests, sweepstakes or other programs (such as discount orrewards programs), offered or sponsored by third parties on the Service, youconsent to our providing your personal information to those third parties.
